TERMS & CONDITIONS

  • By accessing our website, booking our services, or engaging with True Presence Network LLC ("TPN," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services or website.

    These Terms apply to all services offered by True Presence Network, including but not limited to: web design and development, photography, videography, social media management, branding, and stage design services.

  • 2.1 Service Descriptions
    True Presence Network provides multimedia production and creative services as described on our website. Service details, deliverables, timelines, and pricing are specified in individual service pages and confirmed in booking agreements or contracts.

    2.2 Service Modifications
    We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We will honor all confirmed bookings and contracts made prior to any service changes.

    2.3 Eligibility
    You must be at least 18 years of age to enter into contracts with True Presence Network. By booking services, you represent that you have the legal authority to enter into this agreement.

  • 3.1 Deposits & Payment
    A non-refundable deposit (typically 50% of total project cost) is required to secure your booking. The remaining balance is due upon project completion or as specified in your service agreement. Payment schedules for large projects may be negotiated and outlined in individual contracts.

    3.2 Accepted Payment Methods
    We accept payments via credit/debit cards, PayPal, Venmo, Zelle, and bank transfers processed through Wix Payments and other secure payment platforms.

    3.3 Late Payments
    Invoices not paid within 15 days of the due date may incur a late fee of 5% per month (or the maximum allowed by law). We reserve the right to withhold deliverables until payment is received in full.

    3.4 Price Changes
    Prices are subject to change at any time. However, we will honor quoted prices for projects once a deposit has been received and booking confirmed.

    3.5 Community Pricing
    Discounted community pricing is available to qualified organizations (nonprofits, churches, startups under 2 years, local small businesses). Documentation verifying eligibility must be provided at booking. Misrepresentation of eligibility may result in additional charges to standard pricing rates.

  • 4. Cancellations, Rescheduling & Refunds

    4.1 Client Cancellations
    Deposits are non-refundable. Cancellations made with less than 48 hours notice (for photography/videography sessions) or less than 7 days notice (for web design/branding projects) forfeit the full project fee or deposit.

    4.2 Rescheduling
    Service sessions (photography, videography, consultations) may be rescheduled once at no charge with at least 48 hours notice. Rescheduling with less than 48 hours notice incurs a $50-$100 rescheduling fee depending on service type. Additional rescheduling requests may incur additional fees.

    4.3 TPN Cancellations
    If True Presence Network must cancel due to illness, equipment failure, or unforeseen circumstances, we will offer to reschedule at no additional cost or provide a full refund of any payments made. We are not liable for consequential damages resulting from cancellations beyond refunding payments.

    4.4 No-Shows
    Clients who fail to appear for scheduled sessions without prior notice forfeit all payments and deposits.

  • 5.1 Estimated Timelines
    Project timelines and delivery dates are estimates and may be subject to change based on project complexity, client responsiveness, revisions, and unforeseen circumstances. We will communicate any significant delays promptly.

    5.2 Client Responsibilities
    Timely project completion requires client cooperation, including providing requested materials (content, images, brand assets, feedback) within agreed timeframes. Delays caused by client unresponsiveness may extend project timelines without penalty to TPN.

    5.3 Revisions
    Service packages include a specified number of revisions as outlined in individual service agreements. Additional revisions beyond the included amount will be billed at our standard hourly rate or as a separate line item.

    5.4 Rush Services
    Expedited delivery is available for an additional fee (typically 25%-50% of the project cost) and is subject to availability. Rush requests must be confirmed in writing.

  • 6.1 Ownership
    True Presence Network retains copyright and intellectual property rights to all creative work produced, including but not limited to photographs, videos, website designs, graphics, and branding materials, unless explicitly transferred in writing through a separate agreement.

    6.2 Client Usage Rights
    Upon full payment, clients receive a non-exclusive license to use deliverables for their personal or business purposes as specified in their service agreement. This typically includes use on websites, social media, marketing materials, and standard business communications.

    6.3 Prohibited Use
    Clients may not resell, redistribute, sublicense, or transfer TPN's work to third parties for their commercial use without prior written consent. Clients may not claim authorship or remove watermarks/credits without permission.

    6.4 Portfolio & Marketing Use
    TPN reserves the right to use completed projects and client work in our portfolio, website, social media, marketing materials, and promotional content unless the client requests confidentiality in writing at the time of booking.

    6.5 Commercial Licensing
    Extended commercial use (national advertising campaigns, product resale, third-party licensing, broadcast media) requires a separate commercial licensing agreement and additional fees.

    6.6 Website Code & Content
    For web design projects, clients receive ownership of their website content (text, images they provide) but TPN retains rights to custom code, design templates, and proprietary systems unless explicitly purchased separately.

  • 7. Content & Material Responsibility

    7.1 Client-Provided Materials
    Clients are responsible for ensuring they have legal rights to all content, images, logos, text, and materials provided to TPN for use in projects. Clients agree to indemnify and hold TPN harmless from any copyright infringement, trademark violations, or legal claims arising from client-provided materials.

    7.2 Third-Party Content
    If TPN sources stock images, fonts, plugins, or third-party assets for client projects, clients are responsible for ongoing licensing fees if applicable. TPN will disclose any assets requiring ongoing licenses.

    7.3 Prohibited Content
    TPN reserves the right to refuse projects involving illegal content, hate speech, adult content, or materials that violate our values or ethical standards.

  • 8.1 Service Warranty
    We strive to deliver high-quality professional services. If deliverables do not meet the specifications outlined in your service agreement, we will make reasonable efforts to correct issues at no additional charge within 30 days of delivery.

    8.2 Limitation of Liability
    To the maximum extent permitted by law, True Presence Network's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service in question. We are not liable for indirect, incidental, consequential, or punitive damages.

    8.3 No Guarantees
    While we provide professional web design, branding, and creative services, we do not guarantee specific business results, website traffic, sales, search engine rankings, or social media engagement outcomes.

    8.4 Technical Issues
    TPN is not responsible for issues caused by third-party platforms (hosting providers, social media platforms, payment processors) or client modifications made to deliverables after project completion.

    8.5 Loss or Damage
    Clients are responsible for backing up all final deliverables. TPN is not liable for loss of files due to hardware failure, data corruption, or circumstances beyond our control after final delivery.

    8.6 Force Majeure
    TPN is not liable for failure to perform services due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, labor disputes, or technological failures.

  • 9.1 Client Confidentiality
    TPN agrees to keep confidential any proprietary business information, trade secrets, or sensitive data shared during the course of providing services, unless disclosure is required by law or the client provides written permission.

    9.2 Non-Disclosure Agreements
    For projects requiring additional confidentiality, clients may request a separate Non-Disclosure Agreement (NDA), which will be executed prior to project commencement.

  • 10.1 Client Termination
    Clients may terminate services at any time with written notice. Deposits are non-refundable. Clients are responsible for payment of all work completed up to the termination date based on the percentage of project completion.

    10.2 TPN Termination
    TPN reserves the right to terminate service agreements if clients breach these terms, fail to make payments, provide false information, or engage in abusive or unprofessional conduct. In such cases, all payments made are forfeited.

    10.3 Post-Termination
    Upon termination, TPN will deliver any completed work. Partial or incomplete work may be delivered at TPN's discretion. Usage rights only apply to fully paid deliverables.

  • 11. Dispute Resolution

    11.1 Governing Law
    These Terms & Conditions are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

    11.2 Jurisdiction
    Any disputes arising from these terms or TPN's services shall be resolved in the state or federal courts located in Cobb County, Georgia. Both parties consent to the exclusive jurisdiction of these courts.

    11.3 Mediation & Arbitration
    Before pursuing litigation, parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration under the rules of the American Arbitration Association.

    11.4 Attorney Fees
    In the event of legal action, the prevailing party shall be entitled to recover reasonable attorney fees and court costs.

  • 12.1 Entire Agreement
    These Terms & Conditions, together with any service-specific policies and signed contracts, constitute the entire agreement between the client and True Presence Network.

    12.2 Modifications
    TPN reserves the right to update these Terms & Conditions at any time. Changes will be posted on our website with an update. Last Updated: 11/19/205. Continued use of our services after changes constitutes acceptance of the updated terms.

    12.3 Severability
    If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

    12.4 Waiver
    Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

    12.5 Assignment
    Clients may not assign or transfer their rights under these terms without TPN's written consent. TPN may assign these terms to a successor entity.

    12.6 Independent Contractor
    True Presence Network operates as an independent contractor. Nothing in these terms creates a partnership, joint venture, or employment relationship.
